2.12.4 Confidentiality agreement annexed to the signature. (c) The Promoter has the primary right to negotiate a paid or paid, non-exclusive or exclusive licence, or a paid option for an academic IP and/or a joint IP, provided that the Promoter agrees that the Promoter shall be required, in a licence, option or similar agreement, to bear all preparation costs, filing, prosecuting and maintaining patents or copyrights in such intellectual property (“right of negotiation”). The Sponsor has ninety (90) days after the disclosure of the Intellectual Property by the University to exercise its right to negotiate (“Negotiation Period”).
